These Terms of Use constitute a legally binding agreement between you ("you" or "your") and Astro Pump ("Astro Pump", "we", "our" or "us"). The Terms govern your use of the Astro Pump Services made available to you on or through the Astro Pump Platform or otherwise. Astro Pump Services may be provided by Astro Pump or any Astro Pump Affiliate.

By accessing the Astro Pump Platform and/or using the Astro Pump Services, you acknowledge that you have read, understood, and accepted these Terms, together with any additional documents referenced herein. Your continued use of our services will be deemed acceptance of these Terms, as updated or amended from time to time.

If you do not understand or agree with these Terms in their entirety, you should not use the Astro Pump Platform.

RISK WARNING

The value of Digital Assets can fluctuate significantly, and there is a material risk of economic loss when buying, selling, holding or investing in Digital Assets. You should carefully assess whether trading or holding Digital Assets is appropriate for you, considering your personal circumstances, financial situation, and risk tolerance.

Please ensure that you fully understand the risks involved before using the Astro Pump Platform and Astro Pump Services.

You acknowledge that we are not your broker, intermediary, agent or advisor, and that no fiduciary relationship exists between you and Astro Pump. Any communication or information provided by us should not be construed as investment advice.

You are solely responsible for determining whether any investment or related transaction is suitable given your personal objectives, and you assume all associated risks. It is recommended that you conduct your own due diligence and consult with a financial advisor before engaging in any Digital Asset transactions.

1. Introduction

1.1. Astro Pump is a next-generation crypto launchpad designed to assist developers, traders, and the broader crypto community with the creation and trading of Digital Assets.

1.2. By using the Astro Pump Platform, you enter into a legally binding agreement with us. These Terms govern your use of the Astro Pump Platform.

1.3. Please read these Terms, along with any documents referenced herein, carefully. If you have any questions or do not understand any part of these Terms, please contact us.

1.4. You agree to comply with these Terms, as well as any additional terms and conditions applicable to your use of the Astro Pump Platform.

2. Eligibility

2.1. To be eligible to use the Astro Pump Platform, you must:

• a. Be an individual, corporation, legal person, entity, or other organisation with the full power, authority, and capacity to (i) access and use the Astro Pump Platform; and (ii) enter into and comply with your obligations under these Terms.
• b. If you act as an employee or agent of a legal entity and enter into these Terms on its behalf, you must have full authority to bind that legal entity.
• c. Not be located, incorporated, established, or resident in a jurisdiction where accessing or using the Astro Pump Platform would be illegal under Applicable Law, or where doing so would cause us or any third party to violate any Applicable Law; or be located in any country listed in our List of Prohibited Countries.

2.2. We may amend our eligibility criteria at our sole discretion. We will provide notice when possible, though in some cases changes may be necessary without advance notice.

3. Astro Pump Platform

3.1. Use of the Astro Pump Platform is provided at our sole discretion. We reserve the right to refuse any use of the Platform or restrict your access at any time without notice.

3.2. You must not post, upload, or publish any abusive, defamatory, dishonest, or obscene content on the Astro Pump Platform, or any content intended to manipulate market prices or spread false or misleading information in violation of any Applicable Law.

3.3. You must not post, upload, or publish similar content on any other platform regarding Digital Assets created on the Astro Pump Platform.

4. Fees and Calculations

4.1. Fees for using the Astro Pump Platform are outlined on our Fees page.

4.2. You agree to pay all applicable fees in connection with your use of the Platform as they are presented during your usage.

4.3. You authorize us to deduct all applicable fees, commissions, charges, and other sums from any wallet connected to the Astro Pump Platform.

4.4. We may adjust our fees from time to time. Any such adjustments will be published on our website and communicated as appropriate.

4.5. All calculations made by Astro Pump regarding your use of the Platform are final and binding in the absence of a manifest error.

5. Records

We retain your personal data as necessary for your continued use of the Astro Pump Platform and to comply with legal requirements, including those related to tax, accounting, and anti-money laundering.

6. Accessing the Astro Pump Platform

6.1. To access the Astro Pump Platform, you must have the necessary equipment (e.g. a computer or smartphone) and internet access. You may also access the Platform using bots or other methods permitted by us.

6.2. Additional terms or conditions may apply to certain methods of access and will be communicated as necessary.

7. Transactions

7.1. If you execute any Transaction with improper intent or in the event of a manifest error, you authorize Astro Pump to cancel, void, or reverse such Transaction without penalty, provided such action complies with Applicable Law.

7.2. We may be required to share information about your activity on the Platform with third parties or within the Astro Pump group. You agree to such disclosure.

8. Submission of Instructions

8.1. You must ensure that any instruction submitted via the Astro Pump Platform is complete and accurate. We are not required to verify its accuracy or authenticity and may, at our discretion, delay or refuse to act on any instruction if in doubt.

8.2. Once submitted, an instruction is irrevocable and cannot be rescinded without our written consent. It is deemed received only when confirmed by our server.

8.3. By submitting an instruction, you authorize us to execute a Transaction. If your wallet has insufficient Digital Assets, we reserve the right to refuse the Transaction.

8.4. You acknowledge that instructions transmitted over the internet are not guaranteed to be secure, and you assume all associated risks.

9. Additional Transaction Provisions

9.1. We do not guarantee that any Transaction executed on the Platform will complete successfully or within a specific timeframe.

9.2. You agree that we may keep a record of all Transaction information for as long as necessary or as required by Applicable Law.

10. Material Interests and Conflicts

10.1. Your relationship with us or our services does not create any fiduciary or similar obligations unless expressly stated in these Terms. Astro Pump or its affiliates may act in multiple capacities and may receive fees from more than one user.

10.2. Neither we nor any Astro Pump Affiliate is required to consider any material interests or conflicts when providing our services.

10.3. We maintain measures to identify and manage conflicts of interest and reserve the right to decline service if a conflict cannot be managed.

11. Transaction Limits

Your activity on the Astro Pump Platform may be subject to limits that we determine at our sole discretion.

12. Security

12.1. You are responsible for protecting your hardware and data from viruses, malware, and unauthorized access. We are not liable for any loss resulting from your failure to back up data or secure your device.

12.2. You must maintain adequate security for all information used to access the Platform, including following our security procedures and never sharing your passwords or authentication codes.

12.3. Keep your access information secure against unauthorized use.

12.4. It is important that you monitor your Activity History and notify us immediately if you suspect any unauthorized activity.

12.5. If you suspect a security breach, notify us immediately and provide accurate, updated information during the incident.

12.6. We reserve the right to request any information deemed necessary to investigate or resolve any security breach.

13. Privacy

13.1. Our collection and use of personal data in connection with these Terms and your use of the Astro Pump Platform is described in our Privacy Notice, which forms part of these Terms.

13.2. You acknowledge that you have read and understood our Privacy Notice, and you agree to its terms.

14. Amending the Terms

14.1. We may change these Terms and any incorporated documents at any time. Your continued use of the Astro Pump Platform constitutes acceptance of such changes.

14.2. While we will endeavor to notify you before changes take effect, some changes may be implemented immediately.

14.3. If you do not agree with the changes, you should cease using the Astro Pump Platform.

14.4. We may also change fees from time to time; your continued use will constitute acceptance of updated fees.

15. Termination, Suspensions, and Restrictions

15.1. We may modify, suspend, or discontinue any part of the Astro Pump Platform at any time, including canceling Transactions, restricting your access, or blocking data transmission, for any reason.

15.2. The examples above are not exhaustive, and our decisions may be based on confidential risk management criteria.

15.3. If your access is terminated or restricted, any open Transactions may be closed by us or by you, and you authorize us to deduct any costs from your connected wallet.

15.4. If we suspect that any Digital Assets in your wallet are stolen or not lawfully possessed, we may take appropriate action, though we will not become involved in any disputes regarding such Digital Assets.

16. Astro Pump IP

All intellectual property rights in Astro Pump’s technology, design, and content remain exclusively vested in Astro Pump or an Astro Pump Affiliate.

17. Licence of Astro Pump IP

We grant you a non-exclusive licence, for the duration of these Terms or until your access is suspended or terminated, to use Astro Pump’s intellectual property (excluding trademarks) solely as necessary to access and use the Astro Pump Platform for non-commercial, personal use.

18. Licence of User IP

18.1. You grant us a perpetual, irrevocable, royalty-free, worldwide, and non-exclusive licence to use any intellectual property rights contained in the content you provide (“User IP”), to the extent necessary for providing the Astro Pump Platform.

18.2. This licence includes our right to sub-license such rights to third parties as needed.

19. Created IP

19.1. Any intellectual property rights created by you in connection with the Astro Pump Platform (“Created IP”) will automatically vest in Astro Pump from the date of creation.

19.2. You hereby assign to Astro Pump, with full title guarantee, all present and future rights in the Created IP.

19.3. Upon request, you shall execute any documents necessary to perfect the assignment.

20. General

20.1. You acknowledge that we are not responsible for any User Material (whether provided by you or third parties) on the Astro Pump Platform, and you use such material at your own risk.

20.2. We reserve the right to remove, modify, or reject any content you submit at our sole discretion, which may include warnings, content removal, or access restriction.

20.3. You agree that any recorded communications between you and Astro Pump may be used as evidence in any legal proceedings.

21. Prohibited Use

21.1. By using the Astro Pump Platform, you agree not to:

• a. Breach these Terms or any related agreement.
• b. Use the Platform in violation of our Prohibited Use Policy.
• c. Use the Platform for commercial purposes on behalf of others unless expressly agreed in writing.
• d. Engage in conduct intended to manipulate market prices or engage in fraudulent activity.
• e. Undertake activities resulting in disputes, chargebacks, fines, or other liabilities.
• f. Provide false, inaccurate, or misleading information regarding your use of the Platform.
• g. Use automated methods (e.g., bots, crawlers) to access or replicate any part of the Platform.
• h. Reverse-engineer, decompile, or attempt to derive source code or underlying concepts.
• i. Modify or alter any copyright or licence information relating to Astro Pump IP.
• j. Introduce malware or engage in any activity that may damage the Platform.
• k. Use anonymizing proxies or other methods to circumvent geographic or regulatory restrictions.
• l. Violate any Applicable Law or infringe on the intellectual property or other rights of any third party.
• m. Access the Platform from jurisdictions that we designate as high risk, including those under relevant sanctions.

22. Representations and Warranties

22.1. You represent and warrant that:

• a. Your decisions regarding these Terms are made solely based on your independent evaluation.
• b. You have the full power and authority to access and use the Astro Pump Platform and to enter into these Terms.
• c. All necessary consents and approvals have been obtained.
• d. If you upload images or other material, you have the necessary rights to do so.
• e. These Terms constitute a valid and legally binding obligation.
• f. If you are a legal entity, you are duly incorporated and have full authority to conduct your business.
• g. Your use of the Astro Pump Platform does not conflict with any other agreements or Applicable Law.

23. Technology Disclaimers

23.1. The Astro Pump Platform is provided on an “as is” and “as available” basis without any express or implied warranty. We disclaim any warranties of merchantability, fitness for a particular purpose, or non-infringement.

23.2. We do not guarantee continuous, uninterrupted, or error-free access to the Platform. Scheduled or emergency maintenance may result in temporary unavailability.

23.3. We do not warrant that the content on the Platform is accurate, complete, or up-to-date.

23.4. Links to third-party websites are provided for convenience only. We are not responsible for the content or services on such websites.

23.5. You are responsible for obtaining the necessary network access and ensuring that your hardware is compatible with the Platform.

24. Indemnity

24.1. You agree to indemnify and hold harmless Astro Pump and its affiliates against any claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising out of or in connection with:

• a. Your use of the Astro Pump Platform.
• b. Your breach of these Terms.
• c. Any violation of Applicable Law by you.
• d. Any infringement or violation of third-party rights.

24.2. You further agree to release us from any claims that may arise from disputes with other users.

25. Liability

25.1. Neither Astro Pump nor any of its affiliates shall be liable for any loss suffered by you or any third party, except in cases of willful misconduct or actual fraud.

25.2. In no event shall our total liability exceed the fees paid by you to Astro Pump for the relevant Transaction.

25.3. You acknowledge that damages are an adequate remedy and that you shall not be entitled to any other claims or remedies at law or in equity.

25.4. We are not liable for any indirect, incidental, or consequential losses, including those resulting from system failures, security breaches, or third-party actions.

25.5. It is recommended that you use reputable security software and keep your credentials secure.

26. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada and the Province of Ontario, without regard to its conflict of law principles.

27. Dispute Resolution

27.1. If you have any concerns regarding our services, please contact Astro Pump first. We will attempt to resolve disputes through internal negotiation in good faith for a period of one month.

27.2. If the dispute cannot be resolved, you must submit a “Notice of Claim” detailing your grievance before commencing arbitration.

27.3. The submission of a dispute for internal resolution is a prerequisite for any formal arbitration or legal proceeding.

27.4. Any settlement offers made during arbitration shall remain confidential.

27.5. Subject to Applicable Law, any Claim shall be resolved through final and binding individual arbitration administered by the ADR Institute of Canada (or another mutually agreed-upon arbitration body) in accordance with its rules.

27.6. The seat of arbitration shall be Toronto, Ontario, Canada, and the proceedings shall be conducted in English.

27.7. The arbitration provisions shall survive termination of these Terms.

27.8. Any arbitration claim must be initiated within one year of the event giving rise to the dispute.

27.9. The proceedings and related documentation shall remain confidential, except as required by law.

28. Class Action Waiver

You and Astro Pump agree that any claims shall be brought solely on an individual basis, and you waive the right to participate in any class, collective, or representative action.

30. General Terms

30.1. You must comply with all Applicable Law, licensing requirements, and third-party rights (including data privacy, anti-money laundering, and counter-terrorism financing laws) in your use of the Astro Pump Platform.

30.2. We may provide notices to you electronically via email, Telegram, or direct messaging on our social media channels. Such notices are deemed received regardless of any delivery failure notices.

30.3. All official announcements will be made on our Twitter account (https://x.com/astropump_fun). You are responsible for monitoring these announcements.

30.4. These Terms, together with any documents incorporated by reference, constitute the entire agreement between you and Astro Pump.

30.5. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights at any time.

30.6. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

30.7. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

30.8. These Terms are binding on the parties and their respective successors and permitted assigns.

30.9. Astro Pump is not your agent, and nothing in these Terms constitutes a partnership or joint venture between you and Astro Pump.

30.10. We will not be liable for any delay or failure in performance due to events beyond our control (Force Majeure).

30.11. Any delay in exercising a right under these Terms will not operate as a waiver of that right.

30.12. In addition to any other remedy available under law, we may set off any amounts owed by you against any amounts payable to you.

30.13. Any information you receive about another user through the Astro Pump Platform must be kept confidential and used solely for your transactions on the Platform.

30.14. In the event of your breach of these Terms, Astro Pump may, at its discretion, disclose details of your breach.

30.15. It is your responsibility to determine any taxes applicable to your transactions. Astro Pump is not responsible for tax collection or remittance.

31. Wallets

31.1. Any wallet integration available through the Astro Pump Platform is provided by reown.com, and you are solely responsible for maintaining the security and proper use of your wallet.

31.2. Astro Pump or its affiliates shall not be liable for any issues arising from the use of such wallets.

32. OAuth & Third-Party Integrations

32.1. You may connect your social accounts (Facebook, Instagram, YouTube, X, TikTok, Pinterest) via OAuth to tokenize your own posts. We only store your access/refresh tokens and your provider‐assigned user ID; we fetch post data on-demand and do not persist it.

32.2. You can revoke our access anytime from the Astro Pump “Connected Accounts” page or directly in your social-provider settings. See our Privacy Notice for full details on data handling.

33. Definitions and Interpretation

In these Terms:

• 33.1. Clause headings and numbering are for convenience only and do not affect interpretation.
• 33.2. The words “include” or “including” are to be construed without limitation.
• 33.3. Any undertaking to do or not do something shall include an undertaking not to permit that act.
• 33.4. Singular terms include the plural, and terms referring to a gender include all genders.
• 33.5. References to any document include that document as amended or supplemented.
• 33.6. In the event of any inconsistency between these Terms and any incorporated document, the following order applies: (1) the Privacy Notice; and (2) these Terms.
• 33.7. Additional definitions for terms such as “Digital Assets”, “Astro Pump Platform”, “User IP”, “Created IP”, “Astro Pump IP”, and others are as set forth within these Terms.
